Welcome to PayLayer (“PayLayer,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the PayLayer website, software, plugins, applications, documentation, and related services (collectively, the “Services”).
By installing, accessing, or using PayLayer, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Description of the Services
PayLayer provides software and infrastructure that enables website owners to:
- Allow automated systems, AI agents, and bots to purchase products;
- Require payment from AI agents and bots for access to selected content;
- Expose AI-readable access rules, pricing, and payment requirements;
- Integrate with third-party platforms including (but not limited to) WordPress, WooCommerce, and Shopify (when available).
PayLayer does not operate as a payment processor, merchant of record, escrow agent, financial institution, or bank.
2. Eligibility
You represent and warrant that:
- You are at least 18 years of age;
- You have the legal authority to bind yourself or the entity you represent;
- Your use of the Services complies with all applicable laws, regulations, and third-party agreements.
If you are using PayLayer on behalf of an organization, you confirm that you are authorized to do so.
3. No Legal, Financial, or Professional Advice
PayLayer does not provide legal, financial, tax, compliance, or regulatory advice.
You are solely responsible for:
- Determining whether charging AI agents or bots for access is lawful in your jurisdiction;
- Ensuring compliance with copyright, data protection, consumer protection, competition, and AI-related laws;
- Obtaining legal advice regarding your use of paid crawling, AI monetization, and automated transactions.
4. User Responsibilities
You are solely responsible for:
- Your website, content, products, pricing, and access rules;
- Ensuring that your content does not infringe any intellectual property rights;
- Configuring PayLayer correctly;
- All transactions initiated by AI agents interacting with your site;
- All taxes, reporting, and regulatory obligations arising from your use of PayLayer.
You acknowledge that AI agents may behave unpredictably, and you assume all risks associated with automated interactions.
5. AI Agents and Automated Systems Disclaimer
PayLayer:
- Does not control AI agents, bots, crawlers, or third-party automated systems;
- Makes no guarantees regarding AI behavior, intent, accuracy, or compliance;
- Is not responsible for unauthorized access, unintended purchases, or misuse by AI systems.
You acknowledge that AI agents are third-party systems operating independently of PayLayer.
6. Payments and Third-Party Payment Infrastructure
PayLayer integrates with third-party protocols and systems, including but not limited to x402 or similar payment rails.
PayLayer:
- Does not guarantee payment success, availability, settlement, or reversibility;
- Is not liable for payment failures, delays, or errors;
- Is not responsible for chargebacks, disputes, refunds, or losses.
All financial transactions occur directly between you and third-party systems.
7. No Guarantee of Revenue
PayLayer makes no representations or warranties regarding:
- Revenue generation;
- AI traffic volume;
- Monetization success;
- Adoption by AI platforms or agents.
Use of PayLayer does not guarantee income or financial performance.
8. Content Access, Crawling, and Scraping
PayLayer enables you to impose payment requirements on AI agents and bots, but:
- It does not prevent unauthorized scraping or access;
- It does not guarantee enforcement against bad actors;
- It does not guarantee that AI systems will respect access rules.
You acknowledge that no technical system can fully prevent unauthorized access.
9. Intellectual Property
All PayLayer software, branding, documentation, and related materials are owned by PayLayer or its licensors and are protected by intellectual property laws.
You are granted a non-exclusive, revocable, non-transferable license to use the Services in accordance with these Terms.
You may not:
- Reverse engineer, decompile, or disassemble the software;
- Copy, resell, sublicense, or distribute PayLayer without permission;
- Remove or alter proprietary notices.
10. Open Source and Third-Party Components
PayLayer may include open-source or third-party components subject to their own licenses. Your use of those components is governed by their respective terms, not these Terms.
PayLayer disclaims all liability arising from third-party software, services, or integrations.
11. Security Disclaimer
While PayLayer follows industry best practices, no system is completely secure.
You acknowledge and accept that:
- Security vulnerabilities may exist;
- Data loss, breaches, or unauthorized access may occur;
- PayLayer is not responsible for damages arising from security incidents beyond our reasonable control.
You are responsible for securing your hosting environment and website.
12. Data and Privacy
PayLayer processes limited technical and operational data necessary to provide the Services.
We do not guarantee:
- Anonymity of AI agents;
- Accuracy of user agent identification;
- Classification of bots versus humans.
Use of the Services is also governed by our Privacy Policy.
13. Service Availability and Changes
PayLayer may:
- Modify, suspend, or discontinue any part of the Services at any time;
- Release updates, patches, or new versions;
- Change features or functionality without notice.
We are not liable for downtime, interruptions, or compatibility issues.
14. Free Service Disclaimer
PayLayer is currently provided free of charge, but:
- We make no commitment to keep it free indefinitely;
- Free availability does not imply liability or support obligations;
- Free use does not create a partnership, agency, or fiduciary relationship.
15. Indemnification
You agree to indemnify, defend, and hold harmless PayLayer, its developers, contributors, officers, and affiliates from any claims, damages, losses, liabilities, costs, and expenses arising from:
- Your use of the Services;
- Your content or products;
- AI agent interactions with your site;
- Alleged legal violations, including copyright or data protection claims.
16. Disclaimer of Warranties
The Services are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind.
We expressly disclaim all warranties, including:
- Merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Availability, reliability, or accuracy.
To the maximum extent permitted by law:
- PayLayer shall not be liable for any indirect, incidental, consequential, or punitive damages;
- Our total liability shall not exceed the greater of $100 USD or the amount you paid to PayLayer in the previous 12 months.
Some jurisdictions do not allow certain limitations; in such cases, liability will be limited to the maximum extent allowed by law.
18. Termination
We may suspend or terminate your access to PayLayer at any time, with or without notice, for any reason, including violation of these Terms.
Upon termination:
- All licenses granted to you terminate immediately;
- You must stop using the Services.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Denmark, Copenhagen, without regard to conflict-of-law principles.
You agree that any disputes shall be resolved exclusively in the courts of that jurisdiction.
20. Changes to These Terms
We may update these Terms at any time. Continued use of PayLayer after changes constitutes acceptance of the revised Terms.
You are responsible for reviewing the Terms periodically.
21. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
22. Entire Agreement
These Terms constitute the entire agreement between you and PayLayer regarding the Services and supersede all prior agreements or understandings.
